231 e reati agroalimentati
La responsabilità da reato dell’impresa si sta espandendo sempre di più: dopo la recente estensione ai reati tributari, è ora in discussione in Senato il DDL S. 283 inerente i reati agroalimentari.
La protezione del Made in Italy
Con l’obiettivo di reprimere in modo deciso le frodi e proteggere il Made in Italy, il disegno di legge ha l’obiettivo di inasprire le pene attualmente previste per i reati di frode in commercio (che assumono nuova denominazione per incentrare la risposta sanzionatoria sulle frodi alimentari) e di inserire nuove disposizioni nel codice penale e nella l. 283/62.
Alterazione di prodotti agroalimentari
Tra queste, spiccano:
- -il disastro sanitario che punisce le ipotesi di alterazione o contraffazione di prodotti agroalimentari da cui derivi la morte di almeno tre persone o il pericolo grave e diffuso di eventi analoghi (artt. 445bis e 445ter c.p.);
- –la confisca obbligatoria per equivalente per cui, quando non è possibile sequestrare e ritirare dal commercio la merce contraffatta, l’Autorità Giudiziaria può sequestrare all’imprenditore o commerciante una somma di denaro equivalente al valore del profitto dal reato (art. 518bis c.p.).
I reati presupposto 231
Sul fronte della responsabilità dell’ente, il catalogo dei reati-presupposto verosimilmente si arricchirà degli artt. 25bis.2 e 25bis.3: l’impresa sarà chiamata a rispondere con:
–pena pecuniaria fino a € 1.200.000,00 circa
- –sanzioni interdittive (dalla sospensione dell’attività fino a due anni all’interdizione definitiva),
- nel caso in cui un soggetto commetta i reati di frode in commercio di prodotti alimentari, vendita di alimenti con segni mendaci, contraffazione di alimenti a denominazione protetta o uno dei reati contro la salute pubblica (ad es., corruzione o contaminazione di acque o alimenti; omesso ritiro dei alimenti pericolosi; disastro sanitario ecc.) nell’interesse o vantaggio dell’ente.

Il MOG per l’impresa agroalimentare
- Il DDL non si ferma qui poiché vuole introdurre l’art. 6bis al d.lgs. 231/01 “Modelli di organizzazione dell’ente qualificato come impresa agroalimentare”.Come noto, ai sensi dell’art. 6, l’ente non risponde del reato commesso dalla persona fisica se prova di avere adottato ed efficacemente attuato – prima della commissione del reato – un idoneo e adeguato Modello Organizzativo (MOG) e nominato un Organismo di Vigilanza (ODV).Il nuovo art. 6bis, dunque, avrà l’obiettivo di specificare i requisiti che il MOG di imprese del settore agroalimentare dovrà possedere perché abbia efficacia esimente, tra cui:
- controlli interni circa la rintracciabilità, la pubblicità e il rispetto delle norme nazionali e internazionali in materia di sicurezza alimentare;
- valutazione e gestione del rischio alimentare;
- articolazione di funzioni che assicurino le competenze tecniche necessarie per la valutazione e gestione del rischio;
- sistema disciplinare;
- obbligo di revisione del Modello qualora si scoprano violazioni delle norme circa la genuinità e sicurezza dei prodotti alimentari o della lealtà commerciale ma anche in occasione di mutamenti nell’attività in relazione al progresso tecnologico.
Inoltre, si prevederà la necessità di designare un soggetto con adeguate competenze tecniche nel settore alimentare (si prevede l’elaborazione da parte del MEF di un apposito elenco) con il compito di controllare e monitorare l’attuazione del Modello Organizzativo.
I primi dubbi
Da una prima lettura della norma, emergono alcuni dubbi:
- per le imprese agroalimentari, il MOG previsto dall’art. 6bis diventa obbligatorio (con ciò rivoluzionando la compliance 231)?
- il “controllore” coincide con l’ODV o è un soggetto ulteriore? Se coincide con l’ODV, non dovrebbe essere sufficiente il possesso di competenze tecniche in materia alimentare in quanto il MOG copre una vasta gamma di reati?
- il “controllore” in questione, se non coincide con l’ODV, può essere membro dell’Organismo di Vigilanza stesso? E in tal caso, allora, l’ODV dovrà necessariamente essere collegiale?
Le nostre conclusioni
In attesa dell’approvazione del DDL sembra corretto ipotizzare che il MOG agroalimentare ex art. 6bis sia una fattispecie del MOG generale ex art. 6, la cui adozione resta in definitiva pur sempre facoltativa; inoltre il “controllore” del MOG agroalimentare potrebbe far parte dell’ODV (portando un bagaglio peculiare di competenze fondamentali) ma non si può concludere che, in linea generale, la designazione come ODV di un soggetto dotato di competenze tecniche nel settore alimentare possa ritenersi adeguata e sufficiente a garantire all’ente un esenzione di responsabilità penale rispetto a tutte le fattispecie previste dal d.lgs. 231/01.
